What is oneNDA?

oneNDA is an open-source non-disclosure agreement (NDA) that has been co-created by the legal community, including leading international law firms, in-house legal teams, and multinational organisations. oneNDA has been adopted as the standard-form NDA by over 1,000 organisations.

Why has Shieldpay adopted oneNDA?

Shieldpay appreciates the importance of NDAs when it comes to giving parties confidence that they can freely share confidential information with each other. However, NDAs are high volume, low risk agreements (fewer than 1% of NDAs are litigated globally) and too much time is spent in their review and negotiation.

We’ve therefore adopted oneNDA to save the time (and sanity!) of our Legal team and yours, while empowering teams across our business to progress opportunities more rapidly without NDAs getting in the way.

Do we need to adopt oneNDA to sign it?

No. However, if you feel the same way about NDAs as we do, then adopting oneNDA in your organisation should be easy. You can also copy the content of these FAQs to use for your organisation if you’d like (no attribution needed).

What terms can be changed?

In short, not much! The whole point of oneNDA is that it’s a standard form to cut down the need for review and negotiation. We haven’t changed a single thing in the template. The only things that can be changed are the parties’ details and the fields in the form that are reflected on page 2 of the NDA.

Why is the confidentiality period set to 5 years?

Most NDAs limit a recipient’s confidentiality obligations to a period of between 2-5 years from the date of the NDA or the date on which confidential information is disclosed. Under clause 4(a) of oneNDA, the confidentiality period runs from the date on which confidential information is disclosed. We will agree to a period of not less than 2 years and not more than 5 years, with 2 years being the default. We expect this to be acceptable to the vast majority of people.

Which governing law and dispute resolution method will Shieldpay accept?

As a UK company, we’ve provided for the governing law and jurisdiction of the courts of England and Wales to apply by default. If confidential information will be mainly disclosed by you to us and you’re based outside the UK or the European Economic Area (and its or their respective regions or territories) then we can agree to the governing law of your country or territory subject to the dispute resolution method being stated as:

“Final and binding arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (including the Expedited Procedure Provisions) by a single arbitrator appointed in accordance with such rules. The seat of arbitration will be determined by the arbitrator but with a preference by the parties for any hearings to be held virtually. No award or procedural order made in the arbitration shall be published.”

Clause 5(g) of oneNDA makes it clear that the Discloser may seek injunctive relief or specific performance to enforce its rights under the agreement.
